Affiliation agreement and terms of service

Identification of the parties

For this agreement, the parties are:

• PROVIDER: BixOn SAC, Tax ID / RUC 20612797570, domiciled in Lima, Perú. It operates the BixSales platform at bixsales.com and its subdomains.
• USER: the legal entity (or the person who represents it) that completes signup on BixSales, identified by the company and legal-representative data entered in the form (in Peru, typically RUC, legal name and trade name).

Purpose of the agreement

The PROVIDER grants the USER a non-exclusive, non-transferable, revocable right to use BixSales, in an isolated workspace, for:

• Commercial management: origins, leads, opportunities and customers.
• Operations management: campaigns, cases and post-sale tasks.
• Portfolio and collections management: payment follow-up and customer history.
• Technical support according to the contracted plan.
• Storage of workspace data on reasonably secure infrastructure (including files or assets when available).

Provider obligations

The PROVIDER shall:

• Make BixSales available as SaaS, with reasonable effort toward continuity and defect fixes. This text does not promise a numeric SLA unless agreed in writing.
• Keep workspaces isolated and apply reasonable technical and organisational security measures.
• Process site and account personal data under the privacy policy and the data-protection policy. For data the USER loads in its workspace (customers, debts, and so on), the USER is the controller and the PROVIDER acts as processor.
• Provide the contact channels in this agreement for commercial or technical issues.
• Issue the corresponding payment receipt for billed services, when applicable.

User obligations

The person who registers states they are authorized to represent the USER, that the data is accurate, and that they accept this agreement, the privacy policy and the data-protection policy.

The USER shall:

• Use BixSales lawfully, only for its activity and within plan limits (origins, campaigns and users).
• Safeguard credentials, not share access unsafely, and remain responsible for its team’s use.
• Load only information it has the right to process and remain responsible for its lawfulness.
• Pay the fees on the agreed dates.
• Not attack the service, attempt to access other workspaces, or use the platform for unlawful, spam or harmful purposes.

Billing and payments

Current prices appear under Plans, in the currency tied to the chosen language (PEN for Spanish (Peru); USD for generic Spanish and English). The USD equivalent uses a referential FX rate published on the site (not a live bank quote).

• Trial: free for one (1) month. Includes 01 origin, 01 campaign in each area (commercial, operations and collections) and up to 50 users. When it ends, access may be limited if there is no paid plan.
• Monthly: the Emprendimiento plan is billed in advance each month (S/ 200 in PEN, or the USD equivalent). Includes 01 origin, 01 campaign in each area and up to 100 users.
• Annual: ten (10) months are charged (two months complimentary). The annual total and monthly equivalent are shown under Plans.
• Calculator: the estimated price is built from the origins, campaigns and users the USER enters. The internal formula is not published on the site; the amount is confirmed on signup or in writing. There are no invented discounts.
• Late payment: after five (5) calendar days of delay, the PROVIDER may demand payment and communicate any applicable late charges or interest. After fifteen (15) calendar days of delay, it may suspend access until the account is brought current.
• Payment methods: those the PROVIDER publishes on the site or communicates to the USER (for example bank transfer or other enabled channels).

Suspension and termination

The agreement runs from signup until either party ends it with reasonable notice, or immediately for a serious breach.

• The PROVIDER may suspend access for non-payment (per the 15-day late-payment rule), unlawful use, security risk or a legal requirement.
• The USER may stop using the service and request closure of its workspace with reasonable notice.
• After termination or suspension, the PROVIDER may keep copies for as long as the law or the defence of its rights requires. The USER is responsible for exporting its data in time if it needs to.
• Termination does not waive overdue amounts or duties that by nature survive (confidentiality, limitation of liability, governing law).

Limitation of liability

BixSales is provided “as is”, with reasonable effort to operate it. The PROVIDER does not guarantee specific commercial results or the complete absence of interruptions.

To the extent permitted by Peruvian law, the PROVIDER’s total liability to the USER for claims arising from this agreement is limited to amounts actually paid by the USER in the three (3) months before the claim. Lost profits, indirect damage and data loss the USER could have backed up are excluded.

Nothing here limits liability for willful misconduct or for rules that cannot be waived.

Governing law and venue

This agreement is governed by the laws of the Republic of Peru. Any dispute is submitted to the courts of the judicial district of Lima, Perú, without prejudice to mandatory rights that apply to the USER.

Amendments

The PROVIDER may update this agreement. Notice will appear on this page with the last-updated date and, when the change is material, a thirty (30) calendar-day prior notice will be sought via the site or the representative’s email.

Continued use of the service after that period means acceptance of the current version, unless the law requires another mechanism or the USER ends the agreement before the change takes effect.
